Technology Transactions Attorney with SaaS experience (Seattle and SF Bay Area)

We are actively looking for attorneys in/near New York, New York and in the San Francisco Bay Area with:
• 7+ years of experience drafting and negotiating software licenses and commercial contracts;
• Experience with SaaS and Open Source;
• A strong working knowledge of revenue recognition rules highly preferred.
• Prior top law firm and in-house experience with a cloud-based/internet software company preferred;
• Experience working directly with the business side;
• A dynamic personality with a “can-do” attitude;
• Must be a member in good standing with the State Bar of New York/California (respectively). RIHC status is not accepted at this time.

Fin-Tech Product Counsel (mid-to-Senior level) (Mountain View)

Responsibilities:
• Focus on data flow issues, privacy and regulatory issues for fin-tech products.
• Provide business advice and counseling to Product Management and Engineering from initial product development through and past launch.
• Advise internal teams to minimize risk while balancing business interests.
• Draft and negotiate a broad range of commercial agreements and licensing agreements.
• Remain current on applicable international laws and regulations surrounding IP, privacy, content regulation and consumer protection. Qualifications:
• 8-15 years of combined relevant experience in law firms and in-house legal departments.
• Ideal candidate will have prior Product Counseling experience in tech.
• Must be up to date on lending laws, money movement regulation, EU directives and able to manage more straightforward aspects of fin-tech products

We are actively looking for a mid to senior level Products Counsel for a hot tech client in San Francisco.
Responsibilities:
• Provide business advice and counseling to Product Management and Engineering from initial product development through and past launch.
• Advise internal teams to minimize risk while balancing business interests.
• Draft and negotiate a broad range of commercial agreements and licensing agreements.
• Remain current on applicable international laws and regulations surrounding IP, privacy, content regulation and consumer protection. Qualifications:
• 5 to 8 years of combined relevant experience in law firms and in-house legal departments.

We are looking for attorneys in/near Seattle and in the San Francisco Bay Area with:
• Significant privacy experience to support our tech clients.
• Experience counseling business partners on domestic and international privacy laws, regulations, and industry best practices, drafting and negotiating B2B and B2C contracts and disclosures, including privacy policies, TOS and EULAs.
• Experience ensuring that privacy matters are incorporated at the design stage into all products and ensuring compliance with privacy policies and procedures.
• Minimum 7 years of experience as a tech transactions/IP attorney and MUST be a member in good standing with the State Bar of California (RIHC status is not currently accepted).
• Demonstrated expert knowledge of domestic and international privacy laws & regulations (data privacy, HIPAA, COPPA, and EULA)
• Experience with ecommerce, and online marketing and advertising laws

Mid to Senior Level Tech Transactions Attorney, Hardware (Seattle and SF Bay Area)

We are actively looking for attorneys with:
• 7+ years of experience reviewing, drafting, and negotiating various manufacture and supply agreements, component purchase agreements, consultant agreements and distribution agreements.
• Deep understanding of supply chain management, warranty, delivery, warehousing, and IP ownership issues.
• Prior top law firm and in-house experience;
• Experience working directly with the business side;
• Experience with Open Source is highly desirable but not required;

We are actively looking for attorneys in/near Seattle and in the San Francisco Bay Area with:
• Minimum 7 years of corporate experience with in-house experience a significant plus.
• Must be able to work independently with minimal supervision/support.
• Experience guiding deal structuring and process, working collaboratively to negotiate key agreements and manage M&A deals
• Experience advising on IP, securities, employment benefits, and other corporate matters impacting M&A deals is required.
• Demonstrated ability to balance personal risk tolerance with that of rapidly growing companies
• Must be a member in good standing with the State Bar of California or Washington. RIHC not currently accepted.

Senior Corporate Counsel - Securities (Seattle and SF Bay Area)

We are actively looking for attorneys in/near Seattle and in the San Francisco Bay Area with:
• A minimum of 7 years of experience drafting, reviewing, and advising on securities regulations and filings.
• Have a strong working knowledge of Sarbanes Oxley, ’33 and ’34 Act reporting, NYSE and NASDAQ rules and regulations.
• Commercial experience is highly desirable but not required.
• A combination of experience from a top law firm as well as in-house legal experience.
• Excellent oral and written communication skills and impeccable business judgment.
• A proven ability to adapt quickly, easily navigate in-house legal departments, manage outside counsel and work with a wide variety of business and legal clients.
